1. Who we are and what these Terms cover
This website (norvaris.com) is operated by NORVARIS, obrt za razvoj softvera i digitalne usluge, a sole proprietorship registered in Croatia, OIB 94999560219, trading as Norvaris (“Norvaris”, “we”, “us” or “our”). By using this website you agree to these Terms of Service (“Terms”). If you do not agree, please do not use the site.
These Terms govern your use of the website and our general dealings with you. They do not replace a project agreement. Client work is governed by a separate written offer, Statement of Work or contract, and where that document conflicts with these Terms, that document prevails for that project.
2. Our services
Norvaris is a founder-led digital studio. Work is led by the owner and delivered with external specialists where a project requires them. Our services include:
- Website design and development
- Web application and custom software development
- Digital product development, including MVP and SaaS work
- UI/UX design
- AI integration and process automation
- Maintenance, hosting coordination and ongoing support
Descriptions, indicative prices and estimates published on this website are for information only. They are not a binding offer. A binding offer is made in writing after we have reviewed your requirements.
3. Use of this website
You may use this website for lawful purposes only. You agree not to:
- Use the site in a way that breaches applicable law
- Attempt to gain unauthorised access to the site, its server or connected systems
- Interfere with the site’s operation or security
- Scrape, crawl or extract data by automated means without our written permission
- Reproduce, distribute or create derivative works from site content without authorisation
4. Intellectual property on this website
Content on this website — text, graphics, logos, icons, images, code, design elements and animations — belongs to Norvaris or its licensors and is protected by copyright and other intellectual property law. You may not copy, modify, distribute, sell or lease any part of it without our prior written consent.
“Norvaris” and the Norvaris logo are trade names and marks used by Norvaris. Ownership of work produced for clients is dealt with in section 5, not here.
5. Client projects
5.1 Scope
Every project is defined in a written offer or Statement of Work setting out scope, deliverables, timeline and price. Work outside that scope is agreed separately before it starts.
5.2 Payment
Payment terms are set out in each project agreement. Unless agreed otherwise:
- Invoices are issued in euros and are due within 15 days of the invoice date
- Amounts are exclusive of VAT, where VAT applies
- Late payment accrues statutory default interest at the rate applicable in Croatia
- Work may be paused on accounts more than 30 days overdue, after written notice
5.3 Ownership of deliverables
On full payment, ownership of the deliverables produced specifically for you transfers to you, together with the accounts, domains and content associated with the project. We do not hold your hosting, code or domains as leverage.
Two things sit outside that transfer. Third-party components — open-source libraries, frameworks, plugins, fonts, stock imagery and hosted services — remain subject to their own licences. And we keep the right to reuse our own general know-how, techniques and non-client-specific code in later work.
We may show completed work in our portfolio and case studies unless a non-disclosure agreement or a written request says otherwise.
5.4 Revisions and changes
Requests outside the agreed scope may require a change order with an adjusted timeline and price. We will tell you before proceeding, not afterwards on an invoice.
5.5 What we need from you
Projects depend on timely input: content, approvals, access to accounts and systems, and a named person who can make decisions. Where that input is delayed, agreed dates move accordingly. You confirm that any material you supply — text, images, logos, data — is yours to use or properly licensed.
6. Our own products
Norvaris develops and operates its own software products. Where such a product is made available to you, it is governed by its own terms of use and licence, which apply in addition to these Terms.
7. Third-party services
Projects commonly rely on services we do not control — hosting providers, domain registrars, payment processors, email services, analytics and third-party APIs. These are supplied under their own terms, at their own prices and with their own availability. We will advise on suitable choices and set them up, but we are not responsible for their pricing changes, outages or discontinuation.
Links on this website to third-party sites are provided for convenience. We do not control or endorse their content.
8. Warranties
Services we are contracted to perform are performed with reasonable skill and professional care, in line with the agreed scope. Where a defect in our work is reported within the period stated in the project agreement, we will correct it.
This website itself is provided “as is”. We do not warrant that it will be uninterrupted, error-free or free of harmful components, and we do not warrant that information published here is complete or current. No software can be guaranteed entirely free of defects, and we do not warrant that a delivered system will be uninterrupted or error-free in operation.
9. Liability
To the maximum extent permitted by applicable law, Norvaris shall not be liable for any indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of the website or the provision of services.
Where liability cannot be excluded, Norvaris’ total aggregate liability arising out of or in connection with the relevant services shall not exceed the total fees paid by the client to Norvaris for those services during the twelve months preceding the event giving rise to the claim, except where such limitation is prohibited by applicable law.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited — including liability caused intentionally or by gross negligence, liability for death or personal injury, and any mandatory rights you have under Croatian or European Union law.
10. Indemnity
You agree to hold Norvaris, its owner and its contractors harmless from claims, damages, losses and reasonable costs arising from your breach of these Terms, your use of the site or services, your infringement of third-party rights, or material you supplied to us for use in a project.
11. Personal data
How we handle personal data is set out in our Privacy Policy, and how this site uses cookies is set out in our Cookie Policy. Where we process personal data on behalf of a client as part of a project, a separate data processing agreement applies.
12. Complaints
If you are unhappy with our work or with this website, write to us at hello@norvaris.com or at the postal address in section 16. We will confirm receipt and respond in writing within 15 days.
13. Changes to these Terms
We may update these Terms. Changes are published on this page with a new “Last updated” date and take effect from publication. They do not retroactively change a project agreement already in place.
14. Termination
We may suspend access to this website for conduct that breaches these Terms or harms other users, us or third parties. Ending a project is governed by the relevant project agreement, not by this section.
15. Governing law and severability
These Terms are governed by the laws of the Republic of Croatia, without regard to conflict of law principles. Disputes are subject to the competent court in the Republic of Croatia. If you are a consumer, this does not deprive you of the protection of mandatory rules in your country of residence.
If any provision of these Terms is found unenforceable, the remaining provisions stay in force.
